• Legal Agreement: By creating an account or otherwise using the Services, you represent that you have read and understood these Terms and agree to enter into a legally binding contract with Immify.AI. If you are using the Services on behalf of an organization or client (for example, if you are an attorney, or agency using Immify.AI for a client’s case), you represent and warrant that you have the authority to bind that organization or client to these Terms. In that case, "you" and "your" will also refer to that organization or client, as appropriate.

• Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction) and otherwise legally capable of entering into contracts to use our Services. The Services are intended for adults; if you are under 18, you may not create an Immify.AI account or use the Services without a parent or legal guardian’s involvement.

• Changes to Terms: Immify.AI may modify or update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date above. In some cases, we may also notify you via email or through the Services. Please review these Terms periodically. Your continued use of the Services after any changes to the Terms constitutes your acceptance of the updated Terms. If you do not agree to a change, you must stop using the Services.

• Additional Terms: Some portions of the Services may be subject to additional terms and conditions (for example, subscription plans or specific program guidelines). If any additional terms apply, we will provide those to you or post them within the relevant Service. If there is a conflict between these Terms and any additional terms, the additional terms will prevail for that specific Service or feature.

• Immify.AI Platform: Immify.AI provides an AI-powered immigration form automation and case management platform. Our Services allow users (including immigration professionals and individual applicants) to upload documents, complete immigration application forms, generate form answers, and manage immigration case information through a secure web interface. The goal of our Services is to streamline and assist with immigration processes by automating form-filling and providing organizational tools.

• Web-Based Service: Immify.AI’s Services are provided via our website and online platform. Please note that we do not currently offer a mobile application, so all use of our Services should occur through our web platform or any authorized online interface we provide.

• No Professional Advice: While the Services include tools and AI features to help prepare immigration paperwork and provide information, Immify.AI is not a law firm, does not provide legal advice, and is not engaged in the practice of law. Likewise, Immify.AI is not a healthcare provider or medical institution. Any information or assistance provided as part of the Services is for informational and convenience purposes only. Using Immify.AI does not create an attorney-client relationship, a doctor-patient relationship, or any other professional-client relationship between you and Immify.AI or any of its employees or agents. (See Section 8 below for more on these important disclaimers.)

• User Responsibility: You are responsible for how you use the information and tools provided by the Services. Always use your own judgment and, if needed, seek advice from qualified professionals. For example, if you need legal advice tailored to your situation, you should consult a licensed immigration attorney. Our Services may help fill out forms, but you (or your lawyer/notary) are ultimately responsible for reviewing all outputs, ensuring accuracy, and filing documents correctly with the appropriate government agencies.

• Account Creation: To access many of our Services, you will need to create an Immify.AI account. When you register, you must provide accurate, current, and complete information (such as your name, email, and any required credentials) and keep this information up-to-date. You may also be asked to create a password or use another secure authentication method. You are responsible for maintaining the confidentiality of your account login credentials and for restricting access to your account.

• Account Usage: You agree to use your account only for yourself or on behalf of the client/organization you represent, and not to impersonate any person or entity. You must not share your account credentials with unauthorized persons. If you are an immigration professional (e.g., attorney or agent) using the Services to assist clients, you should create a professional account and invite your clients through the authorized features of the platform rather than sharing your own login.

• Responsibility for Activities: You are responsible for all activities that occur under your account. If you believe that anyone has gained unauthorized access to your account or if your account credentials have been lost, stolen, or compromised, you must notify Immify.AI immediately at our support contact (see Section 14) so we can help secure your account. Immify.AI is not liable for any loss or damage arising from unauthorized use of your account, unless such unauthorized use is directly caused by our failure to implement reasonable security measures.

• Account Security: Immify.AI implements technical and organizational measures to protect your account and data, but you also play a vital role in securing your account. Please use a strong, unique password and enable any available security features (such as two-factor authentication) to help protect your account. We reserve the right to suspend or disable any account that we suspect may have been used fraudulently, unlawfully, or in violation of these Terms.

• Your Content: In the course of using Immify.AI, you and other users may submit or upload content and information to the platform. This may include personal data, answers to questionnaire prompts, documents (e.g. passports, certificates, immigration forms, including medical exam forms like Form I-693), photos, or other materials needed for immigration applications (collectively, "User Content"). You retain ownership of all intellectual property rights in the User Content that you submit to the Services. Immify.AI does not claim ownership of your documents or the information you provide.

• License to Immify.AI: In order for us to operate and provide the Services, you grant Immify.AI a limited, worldwide, non-exclusive, royalty-free license (with the right to sublicense to our service providers and partners solely for purposes of operating or improving the Services) to host, use, copy, process, transmit, adapt, and display your User Content only as necessary to (a) provide the Services to you and persons you authorize, (b) maintain, improve, and develop our Services and internal algorithms, and (c) comply with applicable law or your instructions. This license enables, for example, our AI to analyze your form answers to suggest improvements, or our system to convert an uploaded document into text for form-filling. We will never use your personal User Content for any marketing purposes or share it with third parties for their own use without your consent. For details on how we handle and protect your personal information, please refer to our Privacy Notice.

• Your Responsibilities for Content: You are solely responsible for all User Content that you upload or provide, and for ensuring that it is lawful to use. By submitting any User Content, you represent and warrant that:
• You have all necessary rights and permissions to provide the content to Immify.AI and to grant the license above. This means, for example, if you upload personal data about someone else (such as a family member or a client), you have that person’s consent or other legal authority to do so.
• Your content is accurate, truthful, and up-to-date to the best of your knowledge. You understand that providing false information on immigration forms can have serious legal consequences for you and others, and you agree not to use the Services to generate or submit any information that you know is false, misleading, or fraudulent.
• Your content (and Immify.AI’s use of it as permitted by these Terms) does not and will not violate any law or regulation, or infringe the rights of any third party (for example, you will not upload materials that violate anyone’s copyright, trademark, trade secret, privacy, or other rights).
• Your content does not contain any viruses, malware, or harmful code, and uploading it via the Services will not damage or interfere with our systems or other users.

• Data Backup: Immify.AI will implement regular backups and data protection measures, but we do not guarantee that any content you submit can be retrieved in the event of data loss. We encourage you to keep your own backups of important documents or information that you upload to the platform. Immify.AI is not responsible for any accidental loss or deletion of User Content from the platform, but if you encounter any issues accessing your data, please contact us and we will assist if possible.

• Illegal or Fraudulent Use: Do not use the Services for any unlawful purpose or in furtherance of illegal activities. This means you will not use Immify.AI to engage in fraud, submit fraudulent immigration applications, or violate any applicable laws or regulations (including immigration laws, privacy laws, export control laws, or any professional conduct rules that apply to you).

• Unauthorized Access: Do not attempt to gain unauthorized access to the accounts or data of others, or to parts of the platform to which you have no access rights. This includes not trying to bypass or disable any security or authentication measures, and not probing, scanning, or testing the vulnerability of our systems without authorization.

• Interference with the Service: Do not interfere with or disrupt the proper functioning of the Services. For example, do not deploy viruses, worms, or any other malicious code on the platform, and do not engage in any denial-of-service attacks or other activities that degrade performance or hinder other users’ ability to use Immify.AI.

• Automated Use and Scraping: You will not use any automated means (such as bots, scrapers, or scripts) to access, query, or collect information from Immify.AI without our express permission. The Services are meant to be used through our published interfaces; scraping or harvesting data from our website or databases in an unauthorized manner is prohibited.

• Reverse Engineering and Misuse: You must not reverse engineer, decompile, or disassemble any aspect of Immify.AI’s software or Services, except to the limited extent that applicable law permits it notwithstanding this prohibition. Also, do not misuse the AI features (for instance, by attempting to input malicious prompts to trick the system into unauthorized behavior) or use the Services to create a competing product.

• Harassment or Harm: Do not use the Services to harass, threaten, or harm any person or entity. This includes refraining from using Immify.AI’s communication tools or outputs to send abusive or inappropriate messages. You also agree not to use the platform to upload or distribute any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable (for example, hate speech or pornography have no place on Immify.AI).

• Impersonation and Misrepresentation: Do not impersonate any person or organization or misrepresent your affiliation with someone when using the Services. If you are a professional (like an attorney or notary) using Immify.AI, you should provide your true identity and credentials where prompted and not mislead others about your qualifications or authority.

Whether you make a One-Time Payment or purchase a Subscription (each, a “Transaction”), you expressly authorize us (or our third-party payment processor) to charge you for such Transaction. We may request and you agree to provide additional information relevant to the Transaction, including your credit card number, expiration date, billing address, email address, and other

payment details (collectively, “Payment Information”). You represent and warrant that you have the legal right to use all payment methods represented by such Payment Information.

When you initiate a Transaction, you authorize Immify.AI to provide your Payment Information to our third-party payment

processors to complete your Transaction and to charge your selected payment method for the applicable fees (plus any taxes or other charges, as applicable). We may also require identity verification in connection with a Transaction. By initiating a Transaction, you agree to our pricing, payment, and billing policies in effect at the time, whether published on our website or otherwise provided to you.

We may offer different pricing plans, including multi-seat billing, firm- or organization-wide subscriptions, or tiered pricing depending on your account type (e.g., solo practitioner, small business, agency, law firm, or enterprise). If applicable, additional terms for such account types will be presented during account registration or at the time of upgrade.

If you purchase a Subscription, you will be charged a monthly, annual, or otherwise recurring subscription fee, plus any applicable taxes or other charges (“Subscription Fee”), beginning on the date of purchase and recurring at the frequency you select (e.g., monthly or annually) until your Subscription is canceled.

BY PURCHASING A SUBSCRIPTION, YOU AUTHORIZE IMMIFY.AI TO CHARGE YOUR PAYMENT METHOD AUTOMATICALLY ON A RECURRING BASIS, at the then-current Subscription Fee, WITHOUT FURTHER AUTHORIZATION FROM YOU, until you cancel your Subscription or Immify.AI terminates it. We (or our third-party processor) will charge your provided Payment Information at the beginning of each Subscription period. As required by law, we may send you reminders of the then-current Subscription Fee prior to renewal.

By subscribing, you agree and accept responsibility for all recurring charges incurred prior to cancellation of your Subscription.

Your Subscription will remain active until canceled by you or until we suspend or terminate your access to the Services under these Terms.

ALL TRANSACTIONS ARE FINAL. YOU MAY NOT CANCEL OR OBTAIN A REFUND FOR A COMPLETED ONE-TIME PAYMENT OR SUBSCRIPTION FEE, except as expressly provided in these Terms or required by law. However, if an unexpected issue occurs during the processing of a Transaction, we reserve the right to cancel the Transaction and refund any amount you have already paid.

ALL TRANSACTIONS ARE FINAL. YOU MAY NOT CANCEL OR OBTAIN A REFUND FOR A COMPLETED ONE-TIME PAYMENT OR SUBSCRIPTION FEE, except as expressly provided in these Terms or required by law. However, if an unexpected issue occurs during the processing of a Transaction, we reserve the right to cancel the Transaction and refund any amount you have already paid.

You may cancel your Subscription at any time, and such cancellation will be effective at the end of the current billing period. YOU WILL NOT RECEIVE A REFUND FOR ANY PORTION OF THE SUBSCRIPTION FEE PAID FOR THE CURRENT PERIOD AT THE TIME OF CANCELLATION. To cancel your Subscription, you may use the cancellation function available in your Immify.AI account or send a cancellation request to billing@immify.ai.

Following cancellation, your access to the paid features of the Services will continue until the end of the current Subscription period, after which your access will terminate unless you renew.

• No Legal Advice or Lawyer-Client Relationship: Immify.AI is not a law firm or attorney and does not provide legal advice, representation, or services. While our platform may provide information about immigration processes or help you fill out legal forms, nothing provided by Immify.AI should be taken as legal advice specific to your situation. Using the Services does not create an attorney-client relationship between you (or your clients) and Immify.AI or any of its personnel. If you have questions that require legal advice or strategy, you should consult a licensed immigration attorney. You are responsible for reviewing any form or document generated by the Services and determining its appropriateness and accuracy for your case. If you are an attorney using Immify.AI, you acknowledge that our Services are tools to assist you, and you (not Immify.AI) are solely responsible for providing legal advice to your clients and for the professional obligations that come with your license (including ensuring confidentiality and accuracy of filings). Immify.AI does not guarantee that use of the Services will meet the standards of practice required for attorneys or any outcomes in legal proceedings.

• No Other Professional Advice: Aside from legal and medical domains, you understand that Immify.AI is also not an accounting or tax firm, not an investment advisor, and not a licensed professional in other regulated industries. Any financial, tax, or other information incidental to immigration processes (for example, discussions of affidavit of support financial requirements) is provided for convenience without any guarantee of accuracy or applicability to your specific circumstances. Always seek professional advice from certified or licensed individuals in relevant fields when needed.

• Reliance at Your Own Risk: You acknowledge that any information or outputs obtained through the Services are used at your own risk. Immify.AI aims to provide helpful and accurate assistance, but we do not guarantee the completeness, reliability, or legality of information provided by our AI or any content on our platform. Government rules and forms change frequently, and while we strive to keep content up-to-date, you should verify critical information (like immigration filing addresses, fee amounts, or eligibility criteria) by checking official sources or consulting with a professional. Immify.AI will not be responsible for any errors or omissions in the information provided or for any results obtained from the use of such information.

• Voluntary Termination: You are free to stop using our Services at any time. You may delete your Immify.AI account or cease use of the platform if you no longer wish to be bound by these Terms (provided that you still remain responsible for any obligations incurred before termination). To delete your account, you can contact us or use any account deletion feature available in the platform. Keep in mind that our Privacy Notice describes how we handle personal data after account deletion or termination.

• Effect of Termination: Upon any termination of these Terms or your account, your right to use the Services will immediately cease. We may remove or delete your account information and content (except to the extent we are permitted or required to retain it under applicable law or our Privacy Notice). You should download and save any important data or documents from your account before terminating it, as you may lose access to that data afterward. Any provisions of these Terms that by their nature should survive termination (such as ownership provisions, disclaimers, limitations of liability, dispute resolution terms, etc.) will survive.

• No Liability for Termination: To the fullest extent permitted by law, Immify.AI will not be liable to you for any compensation, reimbursement, or damages as a result of terminating your access to the Services, whether for convenience, due to your violation, or due to discontinuation of the Services. This means we will not be responsible for any lost data, lost profits, or other losses you may incur in connection with the removal of your access. However, if your account is terminated in error, please contact us and we will review the situation in good faith and may restore access if appropriate.

• Continued Obligations: Even after your access to the Services is terminated, you may still have obligations to us or to others arising from your use of the Services. For example, if you had agreed to pay any fees for premium services or if you incurred liability to a third party through Immify.AI, you will still be responsible for those amounts. Additionally, any liability limitations, disclaimers, and indemnification obligations in these Terms will continue to apply post-termination.

• No Warranty of Accuracy or Outcomes: Immify.AI does not warrant that the information, data, or results you obtain through the Services will be accurate, complete, reliable, current, or suitable for your purposes. In particular, we cannot guarantee that any immigration form prepared with our assistance will be error-free or accepted by a government agency, or that using our Services will result in any desired legal or immigration outcome. You are responsible for reviewing all outputs and determining their appropriateness.

• No Implied Warranties: We disclaim all warranties, express or implied, arising by law or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. Immify.AI makes no warranty that the Services will meet your requirements or expectations, that they will be compatible with your devices or systems, or that any defects or errors will be corrected.

• Not Professional Advice: Any information or guidance provided by the Services (legal, medical, or otherwise) is offered on a non-professional, informational basis only. No advice or information, whether oral or written, obtained from Immify.AI or through the Services, will create any warranty not expressly stated in these Terms. You assume full responsibility for the decisions you make after reviewing any information from the Services. If you rely on the Services, you do so at your own risk.

• Third-Party Materials: Immify.AI is not responsible for any third-party content or materials accessed via the Services, and we make no guarantee about any such third-party information (including government forms or instructions from external links). Such content is provided “as is” for convenience and does not carry any warranty by us.

• Jurisdictional Exceptions: Some jurisdictions do not allow the exclusion of certain warranties. If any law applies to you that prohibits the exclusions or limitations of certain warranties, then to the extent required by that law, some of the exclusions listed above may not apply to you. In such case, the exclusions shall apply to the greatest extent permitted by applicable law.

• Initial Resolution: We are committed to addressing user concerns quickly and to your satisfaction. For any dispute, claim, or controversy that you have with Immify.AI relating to the Services or these Terms, you agree to first contact us at our support email (support@immify.ai) or via the contact information provided on our website and attempt to resolve the dispute informally. Most user concerns can be resolved in this way.

• Arbitration Procedure: The arbitration will take place in Delaware, U.S.A., or another mutually agreed location. You may choose for arbitration to occur by telephone or video conference, or to be based on written submissions, if in-person hearing would be overly burdensome. The arbitration will be conducted in English, unless otherwise required by law or agreed. The arbitrator will be a neutral, independent arbitrator with experience in resolving technology or commercial contract disputes. The arbitrator has the authority to grant any remedy that would otherwise be available in court, including injunctive or declaratory relief and attorneys’ fees if provided by law. However, the arbitrator may not issue declaratory or injunctive relief that extends beyond the individual dispute (no class-wide relief). The arbitrator’s award will include a written statement of decision explaining the findings and conclusions on which the award is based. The arbitrator’s decision will be final and binding on the parties, and judgment on the award may be entered in any court of competent jurisdiction.

• Class Action Waiver: You and Immify.AI agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator shall not have authority to combine or aggregate similar claims or conduct any class, collective, or representative proceeding, and shall only have authority to resolve individual claims. If this class action waiver is found unenforceable, then the entirety of this Dispute Resolution and Arbitration section shall be null and void, and the dispute must be brought in court (not in arbitration).

• Exceptions to Arbitration: While we anticipate that most disputes will be subject to arbitration, the following exceptions will apply: (a) Small Claims – Either you or Immify.AI may choose to bring an individual claim in small claims court if it qualifies, so long as the claim remains in that court and is not joined with any other claim; (b) Intellectual Property Enforcement – Either party may seek injunctive or equitable relief in a court of proper jurisdiction to protect its intellectual property rights (for example, you may file a lawsuit for IP infringement or we may file a lawsuit to protect our trade secrets or patents); (c) Opt-Out – You have the right to opt out of arbitration altogether and litigate any dispute in court by providing written notice of your decision within 30 days of first accepting these Terms. If you opt out, the provisions of Section 15 (Governing Law and Jurisdiction) will govern any dispute. To opt out, you must send a written notice with your name, the email associated with your Immify.AI account, and a clear statement that you want to opt out of arbitration, to the following email: legal@immify.ai (or physical address if provided by us).

• Costs of Arbitration: Payment of all filing, administration, and arbitrator fees will be governed by the arbitration provider’s rules. Immify.AI will pay those fees for you if your claim for damages does not exceed $10,000, unless the arbitrator determines your claims are frivolous or brought in bad faith (under the standard of the Federal Rules of Civil Procedure 11(b)). In addition, Immify.AI will not seek attorneys’ fees from you in the arbitration unless the arbitrator determines that your claims are frivolous or in bad faith. Each party will otherwise bear their own attorneys’ fees and costs unless the law or arbitration rules provide otherwise.

• Governing Law for Arbitration: The Federal Arbitration Act (9 U.S.C. §§ 1-16) governs the interpretation and enforcement of this Section 14 (Dispute Resolution and Arbitration). You and Immify.AI agree that this arbitration provision reflects a transaction in interstate commerce and the Federal Arbitration Act applies.

• Severability: Except as provided in the Class Action Waiver above, if any portion of this arbitration agreement is found to be invalid or unenforceable, that portion shall be severed, and the remaining portion shall be enforced to the fullest extent permitted by law.

• Confidentiality: The arbitration proceedings, including any rulings, decisions, or awards by the arbitrator, shall be kept confidential and not disclosed to the public or any third party, except as necessary to enforce or challenge the arbitration award or as required by law.

• Entire Agreement: These Terms (together with any applicable additional terms and our Privacy Notice) constitute the entire agreement between you and Immify.AI regarding the Services and supersede any prior agreements or understandings (whether written or oral) relating to your use of the Services. No oral or written information or advice given by any party shall create any additional obligations or warranties beyond those expressly stated in these Terms.

• No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. A waiver is only effective if it is in writing and signed by an authorized representative of Immify.AI. If we do waive a breach of these Terms, it does not mean we will waive any future breach, whether of the same term or any other term.

• Assignment: You may not assign or transfer these Terms (or any of your rights or obligations hereunder) to anyone else without our prior written consent. For example, you cannot transfer your account to someone else or allow someone to assume your rights under these Terms if you no longer use the account. Immify.AI may assign or transfer these Terms or any of its rights or obligations at any time, with or without notice to you (for instance, we might assign the agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law). These Terms will bind and inure to the benefit of the parties and their respective permitted successors and assigns.

• Relationship of Parties: Nothing in these Terms is intended to create any partnership, joint venture, employer-employee, or agency relationship between you and Immify.AI. You and Immify.AI are independent contractors and nothing in these Terms will be construed as establishing an employment or fiduciary relationship. You do not have any authority to bind Immify.AI, and vice versa.

• Third-Party Beneficiaries: These Terms are for the benefit of you and Immify.AI and are not intended to confer any rights or benefits on any third party (except those parties, such as Immify.AI’s affiliates and indemnitees, that are expressly protected by these Terms). No third party shall have any right to enforce these Terms or rely on them in any way.

• Force Majeure: Immify.AI will not be liable for any failure or delay in performing its obligations under these Terms if that failure or delay is due to causes beyond reasonable control, such as natural disasters, acts of government, war, terrorism, civil disturbances, strikes, supply shortages, or widespread internet outages. We will do our best to mitigate the effects of any force majeure event and resume full performance as soon as feasible.

• Notices: Immify.AI may provide notices or communications to you by email (to the address associated with your account), via the Services (e.g., through an in-app notification), or by posting on our website. You consent to receive electronic communications from us. You are responsible for ensuring that your contact information is current and accurate, and for checking communications from us. If you need to give notice to us, you can do so through our Contact Us information below or any official channels we designate.

• Headings and Interpretation: Section headings in these Terms are for convenience only and have no legal or contractual effect. In these Terms, words like "including" or "for example" shall be read as "including, without limitation," and any singular terms include the plural and vice versa, as context requires.
